1. The warranty does stipulate that Nintendo will replace the points for your VC games.
2. As I said before, you can disable it, but that will delay the inevitable. If your Wii has a fault in it, best to flush it out now, put up with the pain of missing you console for a couple of weeks, instead of dealing with the fact that the Wii died outside of warranty and having to go out and shell out another $400 for a new Wii plus more money for the VC games.
